We are a company that provides licenses for the use of a software application and related services using means of distance communication—specifically, the Internet. You can learn more about our service at the noblesseexport.cz web interface.

All contractual relationships with you are concluded in accordance with the legal system of the Czech Republic. Legal relationships not expressly governed by the contract or these terms and conditions are subject to the Civil Code and Act No. 634/1992 Coll., on Consumer Protection, as amended.

Contracts are concluded in the English language.

We conclude the contract with you via the noblesseexport.cz web interface. The web interface guides you through the steps of ordering the service, and you have the opportunity to review and correct the data and information entered before submitting your order.

The order form always includes information about you, the service being ordered, the price (including taxes and fees), the payment method, and the subscription duration. As the service involves digital content and is delivered electronically, we do not charge delivery fees. You bear the costs incurred through the use of means of distance communication in connection with the conclusion of the contract (e.g., internet connection costs, telephone call charges); these costs do not differ from the standard rates.

The contract is concluded upon the submission of your order. By submitting the order, you confirm your agreement to the use of means of distance communication for the conclusion of the contract, acknowledge that you have been informed in advance of all contract details, confirm that you have reviewed the Terms and Conditions (which form an integral part of the contract), and agree to them. Our company considers the information you provided in the order to be accurate. We do not accept any offer containing amendments or deviations.

2.1 The Application is a SaaS (software as a service) software tool designed for creating, planning and automated publishing of posts to groups on the Facebook social network and to the user's personal profile.

2.2 The service consists mainly of:

2.4 To operate the Application, it is necessary for the user to have the Google Chrome browser running with the add-on installed and connected and to be logged in to their Facebook account. Without meeting these conditions, the service cannot be used.

3. Conclusion of the contract and user account

3.1 The offer of services listed on the provider's website is not an offer within the meaning of Section 1732 of the Civil Code; it is an invitation to submit an offer. The contract is concluded when the provider confirms the user's order to the e-mail address provided by the user, or when the Application is made available to the user, whichever occurs first.

3.2 To use the service, registration of a user account is required. The user is obliged to provide complete and truthful information and update it without undue delay.

3.3 Account access data is confidential. The user is responsible for all activities performed through his account. The provider is not liable for damage resulting from the disclosure or insufficient security of access data by the user.

4.2 The license is granted as territorially unlimited, but only for the purpose and method of use resulting from the nature of the Application.

4.3 The User  is not entitled  in particular to:

Reproduce, modify, decompile, reverse engineer or derive source code from the Application or any part thereof, except as permitted by law;
sublicense, rent, lease or resell the Application, unless expressly agreed otherwise (see Article 15);
circumvent technical measures protecting the Application or third-party systems;
use the business name, trademarks, logos or other designations of the provider without its prior written consent.
4.4 All intellectual property rights to the Application, its source code, design, documentation and other materials belong to the Provider. None of these rights are transferred by the Agreement.

5. Price, payment terms and subscription renewal

5.1 The current price list is published on the provider's website. Prices are listed including the statutory VAT rate, if the provider is the payer; for payments subject to the reverse charge regime, the relevant tax regulations apply.

Cancellation can be made at any time in the user account or by e-mail to  info@noblesseexport.cz , no later than the end of the current billing period. Cancellation of the subscription does not give rise to the right to a refund of the proportional part of the price already paid for the current period, unless otherwise specified below.

5.4  Trial Period . If a trial period is offered, the user may cancel the subscription at any time before its expiration without being charged. If the user does not do so, the subscription automatically switches to a paid mode.

5.5  Price changes . The Provider is entitled to change the price list. The User shall be notified of the change in the price of a recurring subscription at least  30 days  in advance by e-mail. If the User does not agree with the change, he or she shall be entitled to cancel the subscription on the effective date of the change; the new price shall then not apply. If the User continues to use the service after the change has taken effect, it shall be deemed that he or she has accepted the new price.

5.6  Delay in payment . If the user does not pay the price properly and on time, the provider is entitled to suspend access to the service after prior notice until payment is made. The provider is entitled to demand statutory interest on the delay.

5.7 The provider issues the tax document (invoice) in electronic form and sends it to the user's e-mail. The user agrees to the electronic form of the document.

6. Withdrawal from the contract by the consumer

6.1 If the user is a consumer, he or she has the right to withdraw from a contract concluded at a distance within 14 days  from the date of its conclusion, without giving a reason, unless otherwise provided below.

6.2  Loss of right of withdrawal . In the case of the provision of digital content that is not delivered on a tangible medium or the provision of a service, the consumer does not have the right to withdraw from the contract if the performance was started with his prior express consent before the expiry of the withdrawal period and the provider has informed the consumer in advance that he will lose the right of withdrawal, and the consumer has expressly acknowledged this. The user grants this consent and confirmation when completing the order by checking the relevant box.

The User uses automated functions at his own risk and is obliged to verify their compliance with the terms of the platform in question. This provision shall not apply to the extent that it would contradict mandatory consumer protection provisions.

The consumer can report the defect by e-mail to  info@noblesseexport.cz . The provider will handle the complaint without undue delay, no later than 30 days from its submission, and will notify the user of its handling in writing.

11.3 If the Application has a defect, the consumer may request its removal, unless this is impossible or disproportionately expensive. If the defect is not removed within a reasonable time, the consumer may request a reasonable discount or withdraw from the contract; withdrawal is not possible if the defect is negligible.

11.4 A limitation of functionality caused by a change on the part of a social network, browser or other third-party service, or unavailability caused by circumstances pursuant to paragraph 10.3, is not considered a defect.

12. Limitation of liability

12.1 The Provider is liable to the User for damage caused by a breach of its obligations to the extent specified by legal regulations.

12.2  The Provider's liability for damages  to users who are not consumers is limited to the amount corresponding to the subscription price actually paid by the user in the last 12 months  preceding the occurrence of the damage. The Provider is also not liable to these users for lost profits, indirect or consequential damages, loss of data, loss of business opportunities or damage to reputation.

12.3 The limitations under paragraph 12.2 shall not apply in the event of damage caused intentionally or through gross negligence, nor in the event of harm to the natural rights of a person.

12.4  The provider's liability towards consumers is not limited beyond what is permitted by mandatory provisions of law.

13. Indemnification

13.1 If a third party asserts a claim against the provider in connection with the content published by the user, the violation of third party rights by the user, or the violation of these GTC by the user, the user undertakes to compensate the provider for the resulting damage, including the reasonably incurred costs of legal representation.

14.5 Upon termination of the Agreement, the User's license and access to the Application shall terminate. The Provider shall retain the User's data for  30 days  from the termination of the Agreement so that the User may export it; thereafter, it shall be irreversibly deleted, unless otherwise provided by law.

15.2 The provider informs the user about changes to the GTC by e-mail at least 30 days before they come into effect, along with information about the right to terminate the contract.

15.3 If the user does not agree with the change, he/she is entitled to terminate the contract free of charge no later than the effective date of the change. If he/she continues to use the service after this date, he/she is deemed to have accepted the new version of the GTC.
